1. Introduction

Welcome to DineMate. These Terms and Conditions ("Terms") govern your use of our website (the "Site") and the service provided by DineMate (the "Service"). By accessing or using our Site or Service, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use our Site or Service.

2. Service Description

DineMate is a reservation assistance service designed to help international tourists in Japan secure restaurant bookings. Since many Japanese restaurants do not offer online reservations, we contact restaurants by phone in Japanese on your behalf. A fee of 500 yen is charged for each successful reservation; if a reservation is not secured, no fee will be incurred. Please note that the reservation status can only be viewed within our iOS application, while this Site serves solely to provide information about our service.

3. Eligibility and Registration

3.1 Eligibility

• You must be at least 18 years old to use the Service.
• The Service is intended for international tourists visiting Japan.

3.2 Registration

• While this Site is informational, using the Service via our iOS app may require registration.
• You agree to provide accurate, complete, and updated information during the registration process and to notify us of any changes.

4. Service Use and Process

4.1 Reservation Process

• Submission: Through our iOS app's chat interface, you provide the URL of the restaurant you wish to reserve.
• Processing: A DineMate operator will contact the restaurant by phone and attempt to secure a reservation on your behalf.
• Confirmation: If the reservation is successfully secured, you will receive a confirmation via the iOS app. The booking status is accessible exclusively within the app.

4.2 Service Limitations

• DineMate does not guarantee that every reservation request will be successful.
• We are not responsible for changes in restaurant policies, cancellations by the restaurant, or any other factors outside our control.

5. Fees and Payment

5.1 Service Fee

• A fee of 500 yen will be charged for each successful reservation.
• No fee is applied if a reservation cannot be secured.

5.2 Payment Terms

• Payment is processed through the payment method provided within the iOS app.
• By providing your payment information, you authorize DineMate to charge the applicable fees.
• All fees are non-refundable except where a reservation has not been confirmed.

6. User Obligations

• Accuracy: You are responsible for providing accurate and complete information when requesting a reservation.
• Compliance: You agree to use the Service in accordance with all applicable laws and these Terms.
• Prohibited Uses: You shall not misuse the Service for fraudulent, illegal, or unauthorized purposes.

7. Intellectual Property

• All content, trademarks, logos, and other intellectual property displayed on the Site are the property of DineMate or its licensors.
• No portion of the Site or Service may be reproduced, modified, or distributed without prior written permission from DineMate.

8. Disclaimers and Limitation of Liability

8.1 "As Is" Service

• The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied.

8.2 Limitation of Liability

• To the maximum extent permitted by law, DineMate shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from your use of the Service.
• DineMate is not liable for failures in securing a reservation due to circumstances beyond our control.

9. Indemnification

You agree to indemnify, defend, and hold harmless DineMate, its affiliates, officers, and employees from any claims, losses, damages, liabilities, costs, or expenses (including legal fees) arising from your use of the Service or any breach of these Terms.

10. Modifications to Terms

DineMate reserves the right to modify these Terms at any time. Any changes will be effective immediately upon posting on the Site. Your continued use of the Service after any modifications signifies your acceptance of the new Terms.

11. Termination

DineMate may suspend or terminate your access to the Service at any time, with or without notice, if you violate these Terms or if we decide to discontinue the Service.

12. Governing Law and Dispute Resolution

• These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to conflict of law principles.

12.2 Dispute Resolution

• Any disputes arising out of or in connection with these Terms shall be resolved through amicable negotiations.

13. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and DineMate regarding the Service.
• Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
• Waiver: The failure of DineMate to enforce any right or provision in these Terms shall not constitute a waiver of such right or provision.
